Article 1Definitions
- LUYT: Light Up Your Talent, the user of these General Terms and Conditions, registered and operating in the Netherlands.
- Client: Any natural person or legal entity (including private individuals booking tracks independently, corporate organizations, companies, sponsors, or commissioning parties) that enters into an Agreement with LUYT or purchases a Service or Product.
- Participant: Any individual participating in, attending, or utilizing a Service or Product provided by LUYT.
- Agreement: The contract, registration, or signed proposal between LUYT and the Client for the provision of Services or Products.
- Service or Product: The full suite of professional services offered by LUYT, including but not limited to transformational coaching (including transcoaching and transpersonal coaching approaches), private career coaching and development, talent and strengths assessments, reports, learning products, strengths based information, training, workshops, team programs, leadership programs, accreditation training, counseling programs, speaking engagements, consulting, strategy advisory on talent learning implementation, project and program management, strategic freelance interim HRD advisory, and or other forms of education.
- Course Material: All literature, online tools, frameworks, workbooks, card decks, books, audiobooks, posters, and digital materials provided by LUYT to the Participant and or the respective organization of the Participant within the context of a Service or Product.
- Written: Communication by e mail, digital means, internet, SMS, or physical mail.
Article 2Applicability
- a)These general terms and conditions apply to all offers, proposals, quotes, registrations, and Agreements between LUYT and the Client and or Participant, and form an integral part thereof.
- b)The Client and Participant accept these general terms and conditions upon registration or signing a proposal. These conditions are permanently available on the website of LUYT.
- c)Exclusion of parts of these general terms and conditions, amendments, and or supplements thereto may only be made after obtaining the prior Written consent of LUYT.
- d)The applicability of any purchasing or general terms and conditions of the Client or commissioning party is explicitly rejected.
Article 3Offers, Registration, and Formation of Agreement
- a)All quotes and proposals made by LUYT are non binding unless specified otherwise in Writing. Registration or proposal acceptance by the Client can take place via digital or written forms provided by LUYT.
- b)By registering or signing a proposal, the Participant and or the third party (commissioning party sponsor) obliged to pay undertakes to pay the full agreed fees.
- c)Registration or contract commitment takes place for the entire consecutive service delivery period or project scope.
- d)A Participant is officially registered for a Service or Product after the registration or agreement has been confirmed by LUYT in Writing.
Article 4Nature of Services & Mental Health Disclaimer
- a)Best Efforts Obligation (Inspanningsverplichting): All coaching, counseling, workshops, strategy advisory, and interim HRD services provided by LUYT are executed on the basis of a best efforts obligation and never a commitment to a specific psychological, behavioral, or financial result (resultaatsverplichting). LUYT will employ high professional standards, but the ultimate outcomes and actions taken by the Client or Participant remain their sole responsibility.
- b)Mental Health & Non Therapy Disclaimer: The Client and Participant explicitly acknowledge that transformational coaching, transcoaching, and counseling programs are strictly tools for personal development, behavioral optimization, and mindset shifting. They are explicitly not a form of medical therapy, psychotherapy, or psychiatric crisis intervention. LUYT does not diagnose or treat mental illnesses. The Participant confirms they are psychologically stable and takes full responsibility for their mental well-being. If mental health issues arise, the Client Participant is responsible for seeking appropriate care from a registered medical professional.
- c)Interim & Freelance Strategic HRD Advisory: When LUYT is engaged as an interim or freelance strategic HRD advisor, the relationship is structured strictly as an independent contractor contract (Overeenkomst van Opdracht under Article 7:400 of the Dutch Civil Code). Both parties intend to prevent the formation of a hidden or fictitious employment relationship (schijnzelfstandigheid).
Article 5Admission, Requirements, and Conduct
- a)LUYT can lay down entry requirements for Participants of the Service or Products being offered, for instance in relation to previous education and work experience. LUYT can also stipulate a registration term and or limit the number of participants in a Service or Product.
- b)If a Participant in any way hinders, disrupts, or negatively impacts the usual course of a service, workshop, or program, LUYT can exclude him or her from further participation. In that event, the payment obligations with respect to the Participant’s participation shall remain fully in force.
- c)Compliance and Amendments: When organizing a Service or Product, LUYT is entitled to deviate from the announcement if LUYT cannot be reasonably required to execute the service or product in full as announced. Any amendments made by LUYT shall resemble the original announcement as closely as possible. Amendments to a Service or Product may be followed by changes in, for example, price and Course Material. The Participant Client shall be notified of this in Writing.
Article 6Prices and Payment Terms
- a)All prices are stated in Euros (€) and are exclusive of VAT (BTW) for B2B corporate transactions, and inclusive of VAT where legally required for B2C private transactions.
- b)B2C (Private Client) Payment Rules: For individual private coaching, career tracks, and standalone assessments, 100% upfront payment is required. Services will not commence, and access to assessment portals will not be authorized, until full payment (or the first agreed installment plan payment) has been successfully processed and cleared. Payments must be completed via the secure digital payment methods, electronic links, or online checkouts provided by LUYT.
- c)B2B (Corporate Client) Payment Rules: For organizational contracts, talent and strength assessment licenses are invoiced and payable 100% upfront prior to the deployment and release of the assessment profiles. Corporate coaching tracks, team workshops, management advisory services, and interim HRD freelance projects are invoiced monthly in arrears or upon project milestones as specified in the signed proposal.
- d)Payment Window & Default: All invoices issued by LUYT are subject to a strict payment term of 10 working days from the invoice date. Should the Client fail to pay within this timeframe, the Client is legally in immediate default (verzuim) without further notice. LUYT reserves the right to suspend all active services, pause coaching tracks, and deactivate access to assessment systems until the outstanding balance is satisfied in full.
- e)In the event that LUYT incurs extrajudicial or judicial costs to collect payment of an invoice, these collection costs shall be fully payable by the Client and or commissioning party.
Article 7Cancellations, Postponements, and Rescheduling
- a)Cancellation by LUYT: In the event circumstances so require or the number of applicants for a Service or Product is insufficient, LUYT can cancel the Service or Product. LUYT shall inform participants about this as soon as possible but no later than 5 working days before the service or product is due to commence. In the event of cancellation, course fees already paid shall be refunded promptly and in full.
- b)Statutory Consumer Right of Withdrawal (B2C Only): Individual consumer clients purchasing via a distance contract have a statutory right to cancel their participation free of charge within 14 calendar days after receipt of the written confirmation of registration. However, this right is waived if the commencement date of the service product falls within this term and or the Participant has explicitly requested LUYT to initiate services or grant access to talent assessments within this 14 day window.
- c)Standard Cancellation Fees (B2B & B2C): Except in the case of cancellations referred to in 7a and 7b, the following administration cancellation fees are payable by the Client and or commissioning party for workshops, training, accreditation training, coaching programs, leadership team programs, strategy consulting, project program management, and strategic HRD advisory tracks:
- Cancellation up to 10 working days prior to the commencement of the service and or product: 20% of the total service & product fee is charged.
- Cancellation fewer than 10 working days prior to the commencement of the service or product, or during execution: 100% of the service and or product fee is fully payable.
- The number of working days is calculated from the date upon which LUYT received the cancellation notice in Writing.
- d)Individual Coaching Sessions: For an individual coaching session, if the cancellation or rescheduling request occurs within 24 hours of the scheduled start date and time of the coaching session, 100% of the coaching fee for that session will be cross charged to the Participant and or the commissioning party.
- e)Substitutions: In the absence of a Participant, a substitute may be appointed, subject to prior notification in Writing sent to LUYT. Where there are entry requirements for participation in the service or product, the replacement must be approved separately by LUYT.
- f)Postponement: In the event of absence, the Participant can opt to postpone their registration once until the immediate next service or product period. If the Participant does not take part in the product or service within a one year period from the original date, the cancellation fee of 100% applies. LUYT does not guarantee that the service or product will actually take place or will be offered unchanged in the future.
Article 8Copyright, Intellectual Property & Third Party Methodologies
- a)The copyrights and or other intellectual property rights associated with a Service or Product arranged by LUYT, including all frameworks, methodologies, and Course Material, are and remain the exclusive property of LUYT and or the teacher(s) licensors of the relevant Service or Product. This explicitly includes the proprietary methodologies utilized by LUYT under authorized professional licenses.
- b)Without prior written permission from LUYT, the Client and Participant may not use the Course Material except for personal use (or internal organizational use for B2B contracts), nor reproduce the Course Material in any way, sell it, or make it available to third parties.
- c)Third Party Assessment Portals (Strengthscope & TalentPredix): When a Service includes talent or strength assessments administered via external platforms, specifically Strengthscope and TalentPredix, the Client and Participant explicitly agree to comply with the End User License Agreements, privacy statements, and terms of service dictated by those platform providers.
- d)LUYT acts strictly as an authorized administrator to request and facilitate the setup of these third party profiles. LUYT is not responsible or liable for any technical downtime, platform errors, system processing changes, updates to sub processor lists, or operational failures occurring on external portals managed directly by Strengthscope or TalentPredix.
Article 9Privacy and Data Protection
- a)LUYT processes personal data in strict compliance with the General Data Protection Regulation (GDPR / Algemene Verordening Gegevensbescherming).
- b)Scope of Data Held by LUYT: The Client acknowledges that LUYT only processes and stores basic business contact data and operational administrative context within its internal corporate communication systems, such as Microsoft Outlook.
- c)Assessment Data Segregation: LUYT does not host, process, or store raw psychometric diagnostic data or complete profile score metrics on its own hardware. Participants input their details and download their final profiles directly via the secure systems hosted by the primary platform providers, Strengthscope and TalentPredix. The privacy statements, structural updates, and data protection terms of those respective UK based entities govern how that specific participant data is processed and stored.
Article 10Liability & Indemnification
- a)LUYT exercises great care when composing the Course Material and executing services. However, LUYT does not guarantee the completeness and correctness of this Course Material. Liability for damage arising from any decision or action based on the Course Material and or information otherwise provided within the context of the Service or Product is explicitly excluded.
- b)Liability on the part of LUYT in respect of any damage incurred by the Client or Participant due to the cancellation of parts of a Service or Product is excluded.
- c)Limitation of Liability Cap & Notification Period: If the Client or Participant sustains damages for which LUYT is held legally liable, LUYT’s total liability (whether in contract, tort, or otherwise) shall at all times be limited to the amount actually paid out under LUYT’s professional liability (BAV) and/or corporate liability (AVB) insurance policy in the matter concerned, plus the amount of any deductible (eigen risico) applicable. If, for any reason whatsoever, no insurance payout takes place, LUYT’s total liability shall be strictly limited to the total fees paid by the Client to LUYT for the specific service track or interim project in question. LUYT explicitly excludes any liability for indirect, consequential, punitive, or emotional damages, including but not limited to loss of profit, loss of revenue, or business interruption. Furthermore, any claims, complaints, or notices regarding performed Services, Products, or interim assignments must be submitted to LUYT in Writing within 14 working days after the Client discovered, or reasonably should have discovered, the damage or defect. Failure to notify LUYT within this period will result in the forfeiture of any rights to compensation, rectification, or insurance claims.
- d)Medical Conditions: Participants are responsible for advising LUYT of any medical condition and or allergies that they have prior to the commencement of the course workshop and of any medication that they are on that may adversely impact them while on the course. In the event that LUYT considers that these conditions are likely to create an unreasonable burden on the efficient, safe conduct of the course, LUYT has a right to cancel the registration.
- e)Personal Belongings: Each Participant is responsible for his or her own personal belongings during the course event or workshop. LUYT accepts no liability for loss or damage to personal items.
- f)Indemnification: The Participant and or commissioning party indemnifies LUYT for all damages third parties may suffer as a result of any act or omission by the Participant with regard to the course event or service execution. The Participant and or commissioning party is obliged to be adequately insured against such liability.
Article 11Termination
- LUYT can terminate the agreement with the Client or Participant with immediate effect in the event that the Client or Participant fails to fulfill an obligation arising from the agreement, or fails to do so on time, and, after receiving a Written warning from LUYT, continues in this failure to comply.
Article 12Applicable Law and Dispute Resolution
- a)All agreements, offers, and legal relationships with LUYT are governed exclusively by the laws of the Netherlands.
- b)All disputes in connection with the agreement concluded between LUYT and the Participant and or commissioning party shall fall within the exclusive jurisdiction of the competent court at Amsterdam.
